Registering Your Company
So, there you are. You and your business are coming to The Hague, in West Holland.
In preparation to your business activities in The Hague, you have to make several choices of how to go about it. And, you will have to comply with a number of legal requirements. From a legal and tax point view, the first priority is deciding on which legal form to use ‘to house’ the proposed Dutch-based activities. These are the steps you have to take.
1. Address and telephone number
To be able to choose a legal business form you need an (office) address (with some requirements like 24/7 access) and a telephone number in The Netherlands.
We would love to assist you in finding the right locations that fits your requirements and wishes.
2. Opening a bank account
An essential step to take when you to do business in the Netherlands is having a Dutch corporate bank account at one of the major Dutch banks. We can introduce you to our contacts at the bank to discuss, also in early stage, your company plans in Europe so your account is active when you are ready to be operational.
3. Legal business form
You can choose from two legal types of businesses to conduct your activities: BV (limited) of NV (public limited). The BV is commonly used for all types of business ventures. The NV is the usual form of business enterprises adopted when capital is to be acquired through public offerings. We can help you to make the right choice and inform you on the procedure on how to set up the corporate structure, together with service providers, like law firms and legal notaries, from our network.
4. Trade name
Your business name should not be identical or too similar to the name of a company already doing business in The Netherlands. A civil law notary can check this. If your name of choice is found legally right, it can be registered in the Trade Register.
5. Internet domain name registration
If you want to use a URL with tie .nl extension, you should check and register at www.sidn.nl. You have to choose a unique URL. Buy the way: the Dutch are used to any extension, like .com, .co.uk , .org or .tv. So, you may not want to use a .nl extension, if not available.
6. The Dutch Tax Department
Before employing personnel and drafting the conditions of employment, employers have to verify whether a Collective Labor Agreement (in Dutch: CAO) is applicable in the field of operation of the company. New employees have to be reported to the Dutch tax authority no later than the day before the work commences by means of the form 'Opgaaf eerstedagsmelding'. This could be a complex task and we are happy to introduce you to the right contacts in our network.
7. Civil law Notary
A civil law notary has certain statutory obligations to perform services such as drawing up and executing deeds of incorporation for BVs and NVs, deeds for the transfer of shares, deeds to amend the articles of association etc. We can introduce you to the right notary. They also provide services with regard to real estate and family law.
8. The Chamber of Commerce
You have to register your business in the Trade Register at the Chamber of Commerce. For more information, please go to www.kvk.nl/englishwebsite.
All of the above might seem a lot of work, but we are able to help you with this. We can introduce you to the right people so make sure you have a smooth start when coming with your business to The Hague.
